BALA 580 Special Topics in Law - Corporate Governance

Somewhere along the line smart, bold, aggressive becomes dishonest, deceitful and fraudulent. High profile management, boards of directors are involved and assisted by external bankers, accountants and legal advisors. Some are going to jail. Pulp fiction or corporate reality? A few bad apples or systemic failure?
This course will examine the foundations and constituent elements of the modern corporation with a view to understanding the concept of corporate governance. In addition to looking at applicable theory and rules, we will take a detailed look at some of the more controversial recent corporate governance failures and the fallout for all parties involved with corporations whether as employees, managers, directors, shareholders or advisors.

This course covers the responsibility of the corporate secretarial function in small, medium and large scale organizations. The module in this course also covers the practice of corporate secretaryship that extends to both the strategic and functional contexts, in advising the board, in leading teams in secretarial best practice, in ensuring compliance with law and regulation and in establishing efficient internal communication of Board decisions and external reporting).

The objective of this course is to study two important areas of corporate financial management: Cash management and valuation. Cash management involves characterizing the cash requirements for a particular operating proposal and developing a plan for managing these requirements. Valuation deals with the techniques used to determine the economic value of an operating plan. Discounted cash flow is the standard approach to valuation. We will also discuss the way in which capital structure and taxes are integrated into the valuation process.
