BALA 580 Special Topics in Law - Corporate Governance

Somewhere along the line smart, bold, aggressive becomes dishonest, deceitful and fraudulent. High profile management, boards of directors are involved and assisted by external bankers, accountants and legal advisors. Some are going to jail. Pulp fiction or corporate reality? A few bad apples or systemic failure?
This course will examine the foundations and constituent elements of the modern corporation with a view to understanding the concept of corporate governance. In addition to looking at applicable theory and rules, we will take a detailed look at some of the more controversial recent corporate governance failures and the fallout for all parties involved with corporations whether as employees, managers, directors, shareholders or advisors.
